Terms of Service

The agreement between you and Pantheon AI LLC, an Indiana limited liability company, for the Solomon applications and the hosted Solomon service. Written to be read.

Who this agreement is between

These Terms of Service (the “Terms”) are a binding agreement between you and Pantheon AI LLC, an Indiana limited liability company (“Pantheon AI LLC”, “we”, “us”). They govern your use of the Solomon desktop and mobile applications, the Solomon command-line tools, and the hosted Solomon service reached at app.lomon.dev (together, the “Service”).

By creating an account, subscribing to a paid plan, or otherwise using the hosted Service, you agree to these Terms. If you are agreeing on behalf of a company or other organisation, you represent that you have the authority to bind it, and “you” means that organisation.

Our Privacy Policy is incorporated into these Terms by reference.

What the Service is

Solomon is a knowledge-base editor. The application runs on your own computer and works on ordinary files — Markdown and HTML documents — in a folder you choose, which we call a vault. The files are yours, in a format you can read without us, on storage you control. The application is a free download and runs fully signed out, without an account and without any network connection.

The hosted Service is the optional part. Depending on your plan, it may provide:

  • Sync. A hosted copy of a vault that keeps your devices in step, using conflict-free replicated data types so concurrent edits merge rather than overwrite.
  • Collaboration. Real-time editing of a document with other people, and share links that grant a named level of access to someone who may not have an account.
  • Published sites. A public web address that serves chosen notes from a vault to anyone who visits it.
  • Hosted agent access. An endpoint speaking the Model Context Protocol through which software agents you authorise can read and propose or make changes to a vault, within the scope you set.
  • Account and billing management, including usage meters and the credit balance described below.

Features not described above, or described as beta, preview or private, may change or be withdrawn; the Beta, preview and private features section governs them.

Eligibility and your account

You must be at least 13 years old to use the Service, and at least 16 if you are in the European Economic Area or the United Kingdom. The Service is not directed to children, and we do not knowingly collect personal information from a child below those ages.

Accounts are created through our identity provider. You are responsible for everything that happens under your account, for keeping your credentials and any access tokens secret, and for telling us promptly if you believe an account or token has been compromised. Tokens that grant agents access to a vault are credentials: treat them as you would a password.

One human, one account. Do not share a single account among several people to avoid a plan limit, and do not create multiple accounts to obtain more than one plan's free allowances.

Access to the hosted Service may be limited to invited users while a feature is in private beta. Being on a waiting list is not an offer, is not a contract, and does not entitle you to a seat, a price, or a date.

Plans and what each one includes

The hosted Service is offered on three plans. The complete table of limits is on our pricing page and forms part of these Terms.

  • Free — no charge. One synced vault, 3 concurrent connections, 500 MB of pooled storage, 1,000 hosted-MCP calls per month, and 100 MB of hosted agent writes per month.
  • Collaborator — $8 per month or $86 per year. Ten synced vaults, 8 concurrent connections, 1 GB of pooled storage, 5,000 hosted-MCP calls per month, 2 GB of hosted agent writes per month, and share links. Collaborator does not include public published sites.
  • Publisher — $30 per month or $324 per year. Twenty-five synced vaults, 25 concurrent connections, 2 GB of pooled storage, 20,000 hosted-MCP calls per month, 5 GB of hosted agent writes per month, share links, and up to 3 published sites serving up to 60,000 requests per month.

Sizes are decimal: one megabyte is 1,000,000 bytes and one gigabyte is 1,000,000,000 bytes. Monthly allowances are measured over the calendar month in Coordinated Universal Time and reset at 00:00 UTC on the first day of each month, regardless of when your subscription renews. Storage is a standing measurement of what is stored, not a monthly allowance. A connection limit is an instantaneous ceiling on how many sessions may be attached at once, not a monthly total and not a figure we bill on.

We may change plan limits and prices with notice, as described under Changes to the Service and to these Terms. We do not grandfather earlier limits, prices or promotional allowances; no prior statement, waiting-list message, beta invitation or marketing page grants a plan, price or allowance that is not stated in these Terms and on the pricing page as they stand today.

Fees, renewal, cancellation and refunds

Paid plans are sold as subscriptions and billed in advance — monthly for a monthly plan, annually for an annual plan. All prices are in United States dollars and exclude sales, use, VAT, GST and similar taxes, which we will add where we are required to collect them.

Payments are processed by Stripe. You authorise us, through Stripe, to charge your payment method for the subscription you select and for any credit packs you buy. We do not receive or store your full card number.

Renewal

A subscription renews automatically at the end of each period at the then-current price for your plan, until you cancel. If we change the price of your plan, we will tell you before the change applies to your renewal.

Cancellation

You may cancel at any time from your account. Cancellation takes effect at the end of the period you have already paid for; until then your plan continues unchanged. Afterwards the account reverts to the Free plan and its limits. Cancelling does not delete your data, and it never touches the copies of your files on your own devices.

Upgrades and downgrades

An upgrade takes effect immediately and is prorated for the remainder of the period. A downgrade takes effect at the end of the current period. If, after a downgrade, your account exceeds a limit of the lower plan, the affected capability stops as described under Limits, metering and what happens at a cap; we do not delete data to bring you under a limit.

Refunds

Subscription fees and prepaid credits are non-refundable except where the law requires otherwise. We do not provide refunds or credits for partial periods, for allowances you did not use, or for periods during which you did not use the Service. If you believe you have been charged in error, contact us within 60 days of the charge and we will investigate in good faith.

Failed payment

If a payment fails, we may retry it and may suspend the paid features of the account until the balance is settled. We will attempt to notify you first.

Prepaid credits

Credits are a prepaid balance that covers usage beyond a metered allowance. One credit is one United States cent. Credits are sold in packs of $10 (1,000 credits), $25 (2,500 credits) and $100 (10,500 credits).

Credits may be spent on exactly two things, and nothing else:

  • hosted agent writes beyond your plan's monthly allowance, at $1.00 per gigabyte; and
  • published-site requests beyond your plan's monthly allowance, at $0.10 per 1,000 requests.

The following rules apply to credits, and each is a condition of their sale:

  • Credits expire twelve months after purchase. Expired credits are forfeited and are not refunded, exchanged or reinstated.
  • Credits are non-refundable and have no cash value. They are consumed oldest-first.
  • Credits never raise a Free-plan cap. On the Free plan every limit is a hard stop, and a credit balance has no effect on it. Credits bought while on a paid plan remain on the account if you later move to Free, but cannot be spent there.
  • Credits belong to an account, are not transferable between accounts, and are forfeited if the account is terminated for breach of these Terms.

Your balance, every debit against it, and the expiry date of each pack are visible in your account at all times.

Limits, metering and what happens at a cap

Every plan limit is enforced as a hard stop. There is no automatic overage billing and no grace period in which we quietly keep serving and invoice you later. When an allowance is spent and no credits are available to cover it — or the allowance is one that credits do not cover at all — the affected capability stops until the allowance resets, until you buy credits where they apply, or until you move to a plan with a higher limit.

We measure usage with counters kept by the Service itself. The hosted agent-write meter counts bytes of document state persisted on your behalf, attributed to the writer the Service already records. We do not inspect the content of your notes for any metering purpose, and metering never depends on what a document says.

Agents that you run on your own machine are not metered. Their edits reach us as ordinary synchronisation from your device and are treated exactly like your own typing. Only agents reaching a vault through our hosted endpoint consume the hosted-MCP and hosted-agent-write allowances.

We warn you at 50%, 80%, 95% and 100% of each metered allowance, and again when a credit balance is low or a capability has stopped. Warnings go to the account's administrators and appear in the application. Usage figures and the credit balance are visible in your account at all times.

What a stop actually does

  • Connections. At the cap, the newest attempt to attach is refused and told to retry shortly. Sessions already connected are never disconnected to make room.
  • Storage, or the monthly write ceiling. The hosted copy of the affected vaults becomes read-only. Your devices keep their complete local copies, you may keep editing offline, and queued changes synchronise once there is room.
  • Hosted agent writes, or hosted-MCP calls. Further hosted agent requests are refused with a machine-readable reason. Your own editing is unaffected.
  • Published requests. The published site returns a short notice page to visitors instead of your content until the allowance resets or credits are added. The notice does not identify you.

We do not delete your content to enforce a limit. Reaching a cap is always a refusal to accept more, never a removal of what is already there.

Acceptable use

You agree not to use the Service to:

  • break the law, infringe anyone's intellectual property, privacy or publicity rights, or distribute material you have no right to distribute;
  • store or publish child sexual abuse material, content that incites violence, or content that harasses, threatens or defames a person;
  • send unsolicited bulk email, run phishing or malware distribution, or publish content designed to deceive a reader about who is speaking;
  • probe, scan, overload or attempt to gain unauthorised access to the Service, another account, or the infrastructure behind either;
  • circumvent a plan limit, a metering counter, a rate limit or an authentication control — including by splitting one workload across several accounts;
  • resell, sublicense or operate the hosted Service as a service of your own, or use it as general-purpose file hosting, a content-delivery network, or a backup target for data unrelated to a Solomon vault;
  • reverse engineer, decompile or attempt to derive the source of the hosted Service, except to the extent that restriction is unenforceable under applicable law.

We do not routinely inspect the contents of vaults, and we have deliberately built the Service so that ordinary operation does not require us to. We may, however, act on a credible report, a legal demand, or an operational signal, and where we do we will act no more broadly than the situation requires.

Automated and agent access

The Service is designed to be used by software agents as well as by people. You may connect agents through our hosted endpoint or run them locally against your own vault. In either case:

  • You are responsible for what your agents do. An action taken by an agent you authorised is your action under these Terms, including for acceptable use, for metering, and for anything an agent writes into a vault you share with someone else.
  • Scope agents deliberately. The Service lets you restrict an agent to a folder, to read-only access, or to proposing changes for your review. Granting an agent broader access than it needs is your decision and your risk.
  • Agent credentials are credentials. Do not embed them in a published site, a public repository, or anything you hand to a third party.
  • Hosted agent access is subject to rate limits in addition to the monthly allowances, so that one automated client cannot degrade the Service for others. Rate limits are refusals with a retry interval, not charges.

Agents are not our agents. We do not review, endorse or take responsibility for the behaviour of third-party models, tools or agent frameworks you choose to connect, and their own terms and privacy practices govern them.

Your content

You own your notes. Nothing in these Terms transfers ownership of anything you write, upload or store (your “Content”) to us. The canonical copies live as ordinary files on your own storage, in formats that do not need our software to open.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, encrypt, index, render and display your Content, and to create the derived artefacts the Service needs — merge state, revision history, search indexes, thumbnails, rendered HTML — solely in order to operate and support the Service for you and for the people and agents you have given access. Where you publish or share Content, that licence extends to serving it to the recipients you chose. The licence exists so we can run the Service; it ends for new uses when you delete the Content or close your account, subject to the periods described under Data retention and deletion.

We do not use your Content to train machine-learning models, and we do not sell it or share it with advertisers.

You are responsible for having the rights to the Content you put into the Service and for keeping your own backups. The hosted copy is a convenience and a synchronisation mechanism; it is not a backup service, and you should not treat it as your only copy.

Sharing and published sites

The Service offers two different ways to let someone else see a document, and they are deliberately not the same thing.

Share links

A share link is a credential you hand to a person. It is unguessable, can be revoked, can be set to expire, and carries the level of access you chose — read, suggest or edit. Anyone holding the link has that access until it is revoked or expires, so treat it accordingly.

Published sites

A published site is public by design. It has a stable, owner-chosen, guessable web address; it serves the same content to every visitor; and it is available to search engines, archiving services and anyone who finds the link. There is no expectation of privacy in anything you publish.

Publishing is an act you take deliberately, per vault or per folder. Unpublishing removes the address from the Service, but we cannot remove what third parties — search engines, caches, archives, readers — have already retrieved. Do not publish anything you are not prepared to have permanently public.

You are the publisher of what you publish. You are responsible for its legality, for the rights in it, and for any privacy obligations you owe the people it mentions. We may remove or disable a published site that breaches Acceptable use or that is the subject of a valid legal demand.

Security and encryption

We describe our security posture plainly rather than in superlatives, because the difference matters.

  • In transit. Traffic between your devices and the Service is encrypted with TLS.
  • At rest. Document state and stored files are encrypted before they are written to our database, using per-vault data keys that are themselves wrapped by a key held in the service environment and never stored in the database. Database access alone — a dump, a backup, a leaked connection string — yields ciphertext.
  • What that does not mean. In this default mode the Service holds the keys, which is what makes server-side merge, search indexing, publishing and hosted agents possible. It follows that we are technically able to decrypt your Content, and that we would have to do so if compelled by valid legal process. We therefore do not describe the default mode as end-to-end encrypted or zero-knowledge, and you should not rely on it as though it were.
  • Sealed vaults. An opt-in mode in which vault keys are held by your own devices is in limited release and is not enabled on any vault by default. Where it is not enabled, the paragraph above applies.
  • On your machine. Search and its embeddings are computed on your own device and the index is not uploaded.

No service is perfectly secure. We will notify affected account holders of a personal data breach as required by applicable law.

Data retention and deletion

We keep hosted Content for as long as your account has it and for a short period afterwards so that an accidental deletion can be reversed. Backups are retained on a rolling basis and are overwritten in the ordinary course; content deleted from the live Service may persist in a backup until that backup rotates.

You may ask us to delete your account and the hosted copies of your vaults by contacting us at support@lomon.dev. We will act on the request within 30 days, except where we must retain something to comply with a legal obligation — transaction records for tax and accounting, for example — or to resolve a dispute. Deleting the hosted copy does not touch the files on your own devices, which remain yours and readable without our software.

Connection and session metadata is short-lived and is retained for no more than 30 days. What we collect and for how long is set out in the Privacy Policy.

Third-party services we rely on

Running the Service requires vendors. The current list, and what each one handles, is in the Privacy Policy. In summary, we use providers for hosting and databases, for the marketing site, for authentication, for payment processing, for transactional email, and for product analytics that carry no note content.

We remain responsible to you for the Service. We may change vendors; where a change is material to the handling of personal data, the Privacy Policy will be updated before the change takes effect.

Beta, preview and private features

Parts of the Service are offered as beta, preview or private-release features. They are provided as-is, may change or be withdrawn without notice, may have lower reliability than the rest of the Service, and are excluded from any commitment about availability. We may limit who has access to them and in what order.

Being invited to a beta does not grant a price, an allowance or a permanent entitlement, and no beta invitation overrides these Terms or the published pricing.

Our intellectual property, and your feedback

The Solomon applications and the hosted Service, including their software, design and trade marks, belong to Pantheon AI LLC and its licensors. Subject to these Terms we grant you a personal, non-exclusive, non-transferable, revocable licence to use the applications and the Service. Open-source components are governed by their own licences, which prevail over this section to the extent they conflict.

If you send us feedback, suggestions or bug reports, you grant us an unrestricted, royalty-free right to use them without obligation to you. We would rather hear it than own it, but we cannot build on an idea we are not free to use.

Suspension and termination

You may stop using the Service at any time and may cancel or delete your account as described above.

We may suspend or terminate an account, or disable a specific capability, if: you breach these Terms; the account is used in a way that threatens the security, integrity or availability of the Service or another customer's data; payment fails and is not resolved; or we are required to by law. Where circumstances allow, we will give notice and an opportunity to put it right, and we will limit the action to what is necessary.

On termination, your right to use the hosted Service ends and prepaid fees and credits are forfeited where the termination is for breach. Your local files are unaffected by any suspension or termination; they are on your disk and do not depend on us.

We may also discontinue the hosted Service as a whole. If we do, we will give at least 30 days' notice, stop charging, and refund the unused portion of any prepaid subscription period.

Disclaimer of warranties

The service is provided “as is” and “as available”, without warranty of any kind. To the fullest extent permitted by law, Pantheon AI LLC disclaims all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any data will be preserved without loss. The hosted Service is a synchronisation and collaboration facility, not a backup service; you are responsible for maintaining your own copies of your Content.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, neither Pantheon AI LLC nor its members, officers or suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, or data, however caused and on any theory of liability, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars ($100).

These limits apply to the maximum extent permitted by law and do not limit liability that cannot lawfully be limited, including liability for fraud, for death or personal injury caused by negligence, or any liability that applicable consumer law does not allow to be excluded. Some jurisdictions do not allow these limitations, so they may not apply to you in full.

The allocation of risk in this section is a fundamental part of the bargain between us and is reflected in the price of the Service.

Indemnification

You will defend, indemnify and hold harmless Pantheon AI LLC from and against any claim, demand, loss or expense (including reasonable legal fees) brought by a third party and arising out of your Content, your published sites, your use of the Service in breach of these Terms or of applicable law, or the actions of agents or people you authorised. We will notify you of any such claim and may participate in its defence at our own expense; you may not settle a claim in a way that imposes an obligation on us without our written consent.

Changes to the Service and to these Terms

We may change the Service, including adding, altering or removing features, and may change plan limits and prices. For a change that materially reduces what your paid plan includes, or that raises its price, we will give at least 30 days' notice by email to the account's administrators or in the application, and the change will apply from your next renewal. If you do not accept it, cancel before that renewal and you will not be charged the new amount.

We may also amend these Terms. The date at the top of this page shows when it last changed. For material amendments we will give at least 30 days' notice by the same means. Continuing to use the Service after an amendment takes effect means you accept it. Amendments do not apply retroactively to a dispute that arose before they took effect.

Governing law and venue

These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Indiana, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Pantheon AI LLC agree to the exclusive jurisdiction of the state and federal courts located in Marion County, Indiana, and each of us waives any objection to venue or to an inconvenient forum in those courts.

Nothing here deprives a consumer of the protection of mandatory provisions of the law of the country in which they are resident, or of the right to bring proceedings in the courts of that country where that right cannot be excluded.

Before filing a claim, each of us agrees to try to resolve the dispute informally by contacting the other and allowing 30 days to respond.

General

Entire agreement

These Terms, the Privacy Policy and the pricing page are the entire agreement between us about the Service and supersede any prior statement, proposal, marketing message or beta communication about it.

Severability and waiver

If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force. Our failure to enforce a provision is not a waiver of it.

Assignment

You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of substantially all our assets, on notice to you.

Force majeure

Neither party is liable for a failure to perform caused by an event beyond its reasonable control, including the failure of an upstream provider, network or utility.

Notices

We give notice by email to the address on your account or by a notice in the application. You give notice to us at the contact address below. Notice is effective when sent.

No third-party beneficiaries

These Terms create no rights for anyone who is not a party to them, except that our members, officers and suppliers may rely on the Disclaimer of warranties and Limitation of liability sections.

Survival

Sections covering your content licence for what remains hosted, retention, our intellectual property, disclaimers, limitation of liability, indemnification, governing law and this section survive termination.
